Terms of Service

 

1. Introduction

Acceptance of Terms

By using the services of CHESSLAB, you unconditionally accept these Terms of Service (TOS). These terms govern the use of our services and define the rights and obligations of our Establishment users. If you do not accept these terms, please do not use our services.

Description of Services

CHESSLAB, operating under the commercial name "CHESSBAR," offers services for organizing chess tournaments and related activities in various partner locations open to the public ("CHESSBAR HOST"). Our services include:

  • Organization of Chess Tournaments: We organize weekly chess tournaments in bars and other public places.

  • Promotion and Management: We promote events on our website and social media, and offer an online registration system for participants.

  • Provision of Equipment: We provide the necessary gaming equipment for tournaments, either for purchase or rental.

  • Organizer Space: We provide an organizer space on our website for partner Establishments to track the number of registrants for each event.

By using our services, you agree to comply with the rules and conditions set forth in these TOS, as well as the specific rules for each event organized by CHESSLAB.

 

2. Use of Services

2.1 CHESSLAB's Commitments

CHESSLAB undertakes to:

  • Event Listing: List events held at the Establishment on our website.

  • Promotion: Promote the CHESSBAR concept on all our social media and website.

  • Event Organization: Organize CHESSBAR events through our online registration system.

  • Access to Organizer Space: Provide the Establishment with access to an organizer space on the CHESSBAR website, allowing them to view the number of registrants for CHESSBAR events held at their location.

  • Provision of Gaming Equipment: Provide gaming equipment to the Establishment under the following conditions, at the Establishment's discretion:

    • Purchase of Equipment: Equipment purchased by the Establishment at 20 euros excl. VAT per set (chess set).

    • Rental of Equipment: Equipment rented by the Establishment at 2 euros excl. VAT per month per set (chess set).

2.2 Establishment's Obligations

  • Registration and Account: Users must create an account to access the services.

  • Event Hosting: Host CHESSBAR events organized by CHESSLAB without additional charges for players and during the scheduled time slots.

  • Purchase or Rental of Gaming Equipment: Purchase or rent CHESSBAR-branded gaming equipment from CHESSLAB.

  • Ensures that participant minimum age is set appropriately. Specifically, the establishment is responsible for verifying the identity and age of participants and restricting access according to according to applicable laws and the nature of the venue

  • Available Space: Ensure adequate space to accommodate players for CHESSBAR events.

  • Hosting Responsibility: Generally, ensure the hosting of CHESSBAR events within the Establishment's premises under its full responsibility.

  • Event Promotion: Promote CHESSBAR events held at the Establishment to its customers.

  • Rules for Players: It is expressly accepted by the Establishment that players at CHESSBAR events will be subject to the same rules as customers but will not be required to purchase more than one drink of their choice during the event.

 

3. DURATION AND ORGANIZATION OF EVENTS

3.1 Duration of Services

CHESSLAB HOST services are offered for a period of three months, corresponding to the duration of a chess tournament season. The services are automatically renewed at the end of the three-month period, unless either party expressly notifies the other of its intention not to renew one month before the expiration of the current period. CHESSLAB reserves the right to make changes to the TOS upon renewal. Any modifications must be expressly accepted by the Establishment. If the Establishment does not respond within 30 days of notification of the new conditions, the changes will be deemed accepted.

3.2 Organization of Events

The Establishment undertakes to host CHESSBAR events organized by CHESSLAB on a weekly basis throughout the duration of the events, in accordance with the quarterly tournament organization proposed by CHESSLAB. It is expressly agreed that events offered by CHESSLAB within the Establishment's premises may take place during the agreed time slots defined in the online space during the application process.

3.3 Cancellation of an Event by the Establishment

In the event of cancellation of an event by the Establishment, except in cases of annual closure, the Establishment must inform CHESSLAB at least 3 days before the scheduled date of the event. The parties undertake to work together and make their best efforts to reschedule the canceled event. If the Establishment is unable to host an event without informing CHESSLAB within the abovementioned deadlines, and except in cases of force majeure, it will remain liable for the amount specified in the relevant article of the TOS. In the event of cancellation of a CHESSBAR event by CHESSLAB, particularly due to an insufficient number of registrants, CHESSLAB must inform the Establishment before the event. Cancellation due to a lack of players or an insufficient number of players will not result in any compensation from either party.

 

4. FINANCIAL TERMS

4.1 Payment for Events

In consideration of the CHESSBAR HOST service and the customer influx generated by CHESSBAR events, the Establishment agrees to pay CHESSLAB 1.95 € excl. VAT per participant per event. This amount will be paid monthly to CHESSLAB.

4.2 Invoicing

CHESSLAB will issue an invoice at the end of each month for the preceding period. This invoice will be payable within 15 days from the date of issue. Payments can be made by credit card, bank transfer, or check payable to CHESSLAB at the address indicated at the beginning of these TOS.

4.3 Late Payment

In the event of late payment, a late fee of 10% per month of the outstanding amount will be due without prior notice. A flat fee of 40 € for collection costs will also be due for each unpaid invoice, in accordance with articles L.441-10 and D.441-5 of the French Commercial Code.

 

5. Refund Policy

5.1. Adjustments on the Number of Billed Participants

In the event of a disagreement regarding the number of participants billed for a CHESSBAR HOST event, the Establishment has the right to request a refund. The following terms and conditions apply:

5.2 Refund Request Timeline

The Establishment must submit a refund request to CHESSLAB within one week (7 calendar days) from the date of the invoice or the date the disagreement is identified, whichever is later. Refund requests submitted after this period will not be considered.

5.3 Refund Request Procedure

To request a refund, the Establishment must:

  • Contact CHESSLAB customer support via email or through the designated refund request form on the CHESSBAR website.

  • Provide the following information in the refund request:

    • Establishment name and contact details.

    • Invoice number or event date related to the disputed billing.

    • A detailed explanation of the disagreement, including the correct number of participants according to the Establishment's records.

    • Any supporting documentation or evidence that substantiates the Establishment's claim (e.g., attendance records, registration lists).

5.4 Refund Review Process

Upon receiving a refund request, CHESSLAB will review the claim and verify the information provided. This review process may include:

  • Cross-referencing attendance records and registration data.

  • Requesting additional information or clarification from the Establishment.

  • Conducting an internal audit of the billing process for the event in question.

5.5 Refund Decision and Processing

  • Decision: CHESSLAB will notify the Establishment of its decision regarding the refund request within 14 business days of receiving the complete refund request.

  • Refund Processing: If the refund request is approved, CHESSLAB will process the refund within one month from the date of approval. The refund will be processed during the next billing cycle, unless otherwise agreed upon by both parties.

5.6 Finality of Decision

The decision made by CHESSLAB regarding the refund request is final and binding. The Establishment acknowledges and agrees that it has no further recourse or appeal process beyond the refund review process outlined above.

 

6. LIABILITY AND INSURANCE

It is expressly stipulated that CHESSBAR events held within the Establishment's premises are the sole responsibility of the Establishment. The Establishment declares and guarantees to CHESSLAB that:

  • It complies with all regulations applicable to its activity and the premises in which its activity is conducted;

  • It is properly insured for professional liability, and its premises are adequately insured;

  • It has all necessary administrative authorizations to accommodate the public and operate its activity within its premises (including the authorization to sell alcoholic beverages, if applicable).

The parties expressly agree that CHESSLAB shall not be held liable in any way for the organization of CHESSBAR events within the Establishment's premises.

 

7. RIGHT TO IMAGE

The Establishment grants CHESSLAB the right and authorization to use, for promotional and advertising purposes and in any form, any photographs or videos taken during CHESSBAR events held within the Establishment's premises, in accordance with these TOS.

 

8. DECLARATION OF RECIPROCAL INDEPENDENCE

The parties expressly declare that they are and will remain, throughout the duration of these TOS, independent commercial and professional partners.

 

9. LOYAL AND GOOD FAITH BEHAVIOR

The parties agree to always behave towards each other as loyal and good faith partners, and in particular, to promptly inform the other party of any dispute or difficulty they may encounter in the execution of these TOS.

 

10. USE OF THE CHESSBAR BRAND

The Establishment acknowledges that it has no ownership or usage rights over the CHESSBAR brand. It is therefore prohibited from using it in any manner or for any purpose unless specifically authorized by CHESSLAB in writing.

 

11. TERMINATION

In the event of a serious breach of contractual obligations by either party, the CHESSBAR service will be terminated automatically 5 days after the other party has enjoined the defaulting party to comply, by any means that provides proof of sending (registered or simple mail, email, SMS, etc.), subject to the provisions below. CHESSLAB may also immediately terminate these TOS in the event of regular and unjustified cancellations of events not justified by force majeure, starting from the third cancellation, without prior notice.

 

12. LEGAL PROVISIONS

12.1 Jurisdiction and Applicable Law

Any dispute arising in connection with these TOS, including their validity, interpretation, or execution, shall be subject to the exclusive jurisdiction of the Bordeaux Commercial Court, notwithstanding the plurality of defendants or third-party notice. These TOS are governed and interpreted in accordance with French law.

12.2 Election of Domicile

For the formation, execution, and termination of these TOS, the parties elect domicile at their respective registered offices.
